MeMarF User Agreement

Version memarf-user-agreement-2026-10-10-r9. This version applies when you accept it through MeMarF.

About this agreement

This User Agreement is between you and Memarflowers LLC, which operates MeMarF at memarf.com. In this agreement, “MeMarF,” “we,” “us” and “our” mean Memarflowers LLC. “You” means the person accepting the agreement and, where properly authorized, an organization on whose behalf that person uses the service. “Service” means the MeMarF features described below. “Content” includes profile information, text, drawings, links and other material a user contributes through an available feature.

MeMarF helps adults discover people and topics, publish optional public profiles, and participate in online offices and temporary shared activities. Important limits include self-reported credentials, public profile visibility, temporary boards that can be lost, and direct calls that can reveal network information to other participants. Please review the whole agreement before accepting it and keep a copy. Section 17 limits certain monetary claims. Section 20 changes how covered United States disputes are resolved, including individual arbitration instead of a court trial and a class-action waiver, subject to its exceptions. These provisions do not apply to every person or claim.

IMPORTANT FOR UNITED STATES USERS: Where section 20 applies and is enforceable, accepting its individual-arbitration and class-action-waiver terms is a condition of membership. This agreement provides no optional arbitration opt-out. The statutory exceptions and court routes in section 20 remain available.

Nothing in this agreement takes away a right, remedy, guarantee or protection that applicable law does not allow us to limit. The Privacy Notice explains our information practices; accepting this agreement is not blanket consent to every possible use of personal information.

1 Agreement and account setup

To create an account, you must receive a reasonable opportunity to review and save this agreement, make the required eligibility declaration, enter the requested acknowledgment name, select the unchecked agreement box, and choose the final account-creation action. The name must match the account name or an optional résumé name you expressly confirm during account setup. If the names do not match, you can correct the name or the permitted account information and try again. A mismatch alone does not mean you have committed fraud.

Your typed acknowledgment and final action express your agreement to these terms. Typing a name is not independent identity verification, a credential check or proof of age. Reaching the end of the agreement makes the acknowledgment available; it does not establish that you actually read or understood every provision. Ask questions at markjflowers2@gmail.com before accepting if you need clarification. If you do not accept this agreement, you cannot complete membership registration or obtain ordinary service access. You may decline and leave account setup. Declining does not itself request or cause deletion of an existing account or its data. Existing users retain the available restricted account-data, agreement-download and deletion-request routes without accepting new terms, subject to appropriate account verification.

We retain a private acceptance record identifying the exact agreement version and text you accepted, its integrity hash, the acceptance time, your account reference, and the acknowledgment name and account-name snapshot used for that acceptance, plus an optional résumé-name snapshot that you expressly confirmed. We do not retain the raw résumé as part of this record. Your account provides a way to view and download that accepted version. Authorized personnel may retrieve the record for account support, compliance or a genuine dispute. It is not part of your public profile. The Privacy Notice states its retention period and deletion exceptions. A later agreement does not overwrite an earlier acceptance record while that record is retained.

If you act for an organization, you must have authority to bind it. Do not purport to bind a client, visitor or another person merely by hosting an office or inviting them. An organization does not acquire ownership of another person's account or content merely because its name appears in a profile. Individual account access remains subject to our account controls.

2 Eligibility and lawful access

You must be at least 18, meet any higher minimum age that applies to entering this agreement or using the service where you live, and be legally able to enter the agreement. Provide accurate eligibility information, including the residence country requested during setup, and correct it when it materially changes. Do not create an account for a minor or allow a minor to use your account.

Our eligibility screening relies on your declarations. Google sign-in, a passkey, a username, a typed name or a document import does not independently verify your age, legal capacity, identity, residence or qualifications. You must not evade a lawful access restriction, a suspension, an age requirement or a security control.

You may use MeMarF only where and for purposes the law permits. We may restrict particular features or locations when reasonably necessary for legal, safety or operational reasons. Availability in a country is not a representation that every proposed activity, profession or transaction is authorized there. Your obligations do not remove our own legal responsibilities.

3 The service and its present limits

The free service includes discovery and directory features, optional published profiles and headshots, connection requests and accepted connections, connection-request eligibility preferences, themed offices, waiting queues, a shared drawing board and shared text notes, optional browser-local profile import, and direct browser audio or video where enabled. Additional enabled features may include audience controls, one-way follows, a text-and-link feed, message requests, private text conversations and in-service reporting. Hosts manage admission and participation. Features, supported browsers and capacity limits may vary. This agreement does not cover Ten Halls or another separately identified service.

This release does not collect payments, sell paid entry or provide paid consultations. PayPal or another payment feature is not authorized by accepting this agreement. Before any future charge, we will identify the service, seller, price, currency, applicable taxes and fees, billing frequency, cancellation or refund terms, and any additional agreement, and obtain the required agreement to the transaction. An announcement of a possible feature is not a promise that it will launch or remain free.

MeMarF currently has no built-in recording, server media storage or TURN media relay. Zoom and Webex integrations are not part of this release. Payment, recording or a different media architecture requires appropriate feature disclosures and an updated privacy review before it is offered. The features described here are subject to their own activation, eligibility and visibility controls. A feature is available only when the service actually enables it. Describing an optional feature does not make it available or change a privacy choice while the feature is disabled.

4 Account access and security

Use only accounts, devices and sign-in methods you are entitled to use. Keep your authentication provider account, devices, passkeys and recovery material secure. Do not sell, rent, transfer or share account access in a way that bypasses eligibility, permissions or security. Tell us promptly if you reasonably believe someone has accessed your MeMarF account without permission. Do not send us passwords, passkey private keys, device PINs, raw recovery codes or other sign-in secrets in ordinary support messages.

Google sign-in uses your chosen provider's authentication service. Where username and passkey access is enabled, you may create an account without providing an email address. Its login username is separate from its chosen display name. Your authenticator or device controls the passkey's private key and local unlocking method. MeMarF uses public-key credential information to authenticate you and stores hashed recovery codes where that recovery feature is provided. MeMarF does not receive the fingerprint, face template or device PIN used to unlock your authenticator. Read the Privacy Notice for the actual information handled by each available sign-in method.

Protect any recovery codes you choose to save. A recovery code is a sign-in secret. Where full account recovery is supported, using a valid code together with an explicitly confirmed new passkey replaces all existing passkeys and recovery codes and ends prior sessions; save the newly issued codes when they are displayed. A separate fresh-passkey action may replace recovery codes without replacing your passkeys. A distinct account-data-only route may consume one recovery code for ten minutes of access to your own agreements and deletion request, without creating a passkey or granting ordinary application access. Losing every passkey and recovery code can make a passkey-only account unrecoverable. There is no email-only recovery or automatic linking to a Google account. Passkey support depends on your device, browser and authenticator. An email address, a typed name or a claimed résumé match by itself does not establish ownership. We may request proportionate additional verification before granting access or acting on a sensitive account request. Contact support if an original sign-in option is no longer offered. We do not automatically merge accounts merely because their email addresses or names match.

You are responsible for activity you authorize through your account and for reasonably protecting your access. This does not make you automatically liable for every unauthorized act or excuse our own security failures. We may revoke sessions or temporarily restrict account actions when reasonably necessary to protect an account or the service.

5 Profiles and self reported information

New profiles begin as private drafts. Publishing makes the selected profile fields available to the audience allowed by your profile and office visibility setting. Choosing Anyone can make them public, including to visitors who are not signed in. The selected audience remains subject to account, eligibility, block and safety controls. Public fields may include your chosen name, headline, biography, categories, topics, education, experience, licenses, certifications, publications or books, affiliations, availability and links. Saving changes to a published profile updates the fields visible to its allowed audience immediately. Your sign-in email is not automatically added to your published profile. An optional email-display control starts off: you must enter the contact address you want to show, select the unchecked display choice and save it. The selected address appears beneath your full chosen name only to the audience allowed to see your published profile; Anyone can include signed-out visitors. Saving with that choice off clears the stored public contact field. Contact details you enter in another visible field are also shared with that audience. Removing information does not recall copies other people already saved.

Publish only information you are entitled to disclose. Keep material claims accurate and reasonably current. Describe expired, suspended, limited or jurisdiction-specific credentials accurately. Use the available education status to distinguish current study from a completed qualification; an unspecified status does not establish completion. Program suggestions are entry aids and do not verify enrollment, graduation or institutional approval. Do not falsely imply a degree, professional license, employment relationship, endorsement or institutional affiliation. Linking to a licensing body, employer, institution or publication does not mean that organization endorses MeMarF or your profile.

User credentials, education, professional licenses, certifications, publications and affiliations are self-reported unless a particular field expressly describes a separate verification process. MeMarF does not independently verify those claims in this release. Search placement, a topic category, an office theme, a sign-in provider, an import suggestion or a profile's presence is not a credential verification, recommendation or guarantee of suitability.

Clearly labeled fictional showcase profiles illustrate the service. They are not actual available professionals, verified users, testimonials or evidence of real service outcomes. Do not impersonate a showcase character or present fictional experience as your own.

If profile-photo uploading is enabled, upload only an appropriate headshot of yourself that you are entitled to use. Before each new photo or replacement, you must separately check the photo acknowledgment and choose Save photo after previewing the image. You confirm that you are the adult depicted, that you have the necessary copyright and other permissions, and that the photo complies with these rules. Do not upload another person's image, an image of a minor, intimate or sexually explicit imagery, child sexual exploitation material, nonconsensual intimate imagery, deceptive synthetic imagery, or another unlawful, infringing or misleading image. You are responsible for the content you choose to upload and for your own breach of these duties, to the extent provided by applicable law. Your acknowledgment is not independent identity or age verification and does not transfer our legal duties to you or waive another person's rights.

After previewing and cropping a headshot, choosing Save photo authorizes display to your profile's allowed audience: immediately if the profile is published, or when you publish it if it is private. The notice beside Save photo explains this before you save. Choosing Anyone as the profile audience can allow signed-out visitors to see the photo. No separate photo-publication step follows Save photo. Selecting or cropping a file alone does not upload or publish it. A previously saved private photo stays private unless you deliberately complete this Save photo workflow. Hiding a profile hides its photo and cancels its publication choice; republishing the profile does not republish that photo. A new Save photo action is needed to authorize display again. The service does not offer general image attachments in feed posts or private messages. Drawings, live camera use and screen sharing remain subject to the same content and consent rules.

The browser processes a supported JPEG or PNG locally and sends only a resized PNG. The application stores that smaller image, not the original file or its filename. In ordinary use, saving a new photo replaces the previous active photo; the application provides no photo-history or photo-restore feature. A specific preservation obligation can prevent replacement or deletion of an existing photo. Preserved material is removed from ordinary display and access, retained only for the justified purpose, and subject to the Privacy Notice's preservation safeguards. Replacement or removal does not guarantee immediate erasure from recovery copies or independently saved copies. Server processing strips supported ancillary metadata, but cannot remove private information visible in the image itself.

When the enabled Report Photo tool successfully accepts a report, the exact current photo reported is automatically hidden from ordinary viewers while it is reviewed. This temporary restriction is not a finding that the report is correct and does not itself delete the account. Email reports require operator handling and do not automatically trigger this restriction. If the operator approves the photo, it may become visible again only while it remains the same current photo, its publication choice and current audience permit display, and no other unresolved report, preservation hold or legal restriction prevents display. Approval does not restore a replaced or deleted photo. When the operator chooses to sustain a report, the service keeps the exact current photo unavailable to ordinary viewers and automatically places the existing photo and available relevant case information under restricted preservation for case-specific legal, safety or genuine dispute review. This does not send a report or image to authorities. A preservation hold can prevent replacement or deletion of that photo and delay final account deletion. Continued retention must have a valid purpose and be reviewed; it is not a permanent image archive. Any required report, lawful disclosure and eventual release or deletion are handled separately under the applicable procedure. Removal from ordinary display and destruction of stored bytes are different actions. The operator may also choose to suppress exact matches until an explicitly selected finite expiry. The suppression record contains only the hash of the canonical sanitized PNG and its expiry, not the blocked image itself, a name, an account identifier or a facial template. The feature matches exact canonical bytes; it does not recognize faces or detect edited, cropped or visually similar pictures. Expiration ends blocking; scheduled cleanup removes expired records, subject to maintenance failures or delays. Any renewal requires a new justified review and finite expiry.

Do not put government identification numbers, passwords, financial-account details, private information about a child, confidential client records or other unnecessary sensitive information into a profile. You can leave optional fields blank. Information others have already copied, indexed, downloaded or screenshotted may remain outside MeMarF after you hide or edit your profile.

6 Connections and contact preferences

Where enabled, you may send a connection request and choose whether to accept or decline another person's request. Both users must have published profiles to send or accept a request in this release. Requests appear in the service; this feature does not send an email or push notification. A request does not itself create an accepted connection, authorize admission to an office, or imply that either user endorses the other. Do not send misleading or repeated unwanted requests, evade a person's restrictions or treat a connection as a verified identity or qualification.

Available connection-request eligibility choices can include direct accepted connections, direct and second-degree connections, or anyone. A second-degree connection is a person linked through an accepted mutual connection. A direct-connections-only request setting prevents requests from people who are not already connected, so it does not allow new connections to start. Request eligibility, profile and office audience, and message-request audience are separate controls. A request setting does not itself grant access to a profile, office or conversation. Anyone remains subject to the eligibility and access rules for the particular feature. You may cancel an outgoing request, decline an incoming request, remove an accepted connection or block an account. Blocking removes connections and follows in both directions, prevents new contact between the signed-in accounts, and ends their pair conversations. It also restricts their signed-in profile and office access. An otherwise public profile can still be seen by a signed-out visitor. Unblocking does not restore removed relationships or messages. These actions do not recall copies already received, and limited information subject to a valid preservation need can remain restricted as described in the Privacy Notice.

You may choose an optional connection password and share it with people you want to be able to send you a new request. This is separate from your account sign-in, passkey and recovery codes. Do not reuse a sign-in password or recovery secret. The requester must provide the required connection password before a new request is delivered, and you still choose whether to accept the request. Changing that password does not undo already accepted connections or by itself remove a request already delivered. A recipient should use the applicable connection, request and access controls to change those relationships or permissions.

Requests remain pending until accepted, declined, canceled, blocked or removed by the account-deletion process; they do not automatically expire in the described implementation. Accepted connections remain until removed, blocked or deleted. Your connection lists are private to you, and the other person can see only their own relationship with you through this feature. A hidden profile appears as a private profile in an existing relationship rather than exposing its private fields.

Only share the connection password with intended people. They may share it further; possession is not identity verification or proof that you personally invited a particular requester. The Privacy Notice explains the restricted data used to operate connections and the password check. The connection feature does not make your email public.

6A Audiences follows posts and private messages

Profile and office audience choices may include Anyone, direct accepted connections, and direct plus second-degree connections. Following is one-way and does not create a connection, reveal a person's full graph, or grant profile, office or messaging access. You see your own following list. The feed uses permitted content and the enabled ordering of connections, followed people and topic interests; it does not verify claims or endorse an author. Posts contain text, an optional link and selected topics. A post's selected audience and the author's current access restrictions both apply. For feed posts, Anyone means eligible signed-in readers who meet those restrictions; this release does not provide a public signed-out feed. MeMarF does not fetch link previews or load an external linked page until you choose the link.

Profile and office audience changes govern subsequent server-authorized access. An admitted participant whose access changes may be removed after a short revalidation interval, designed to be no more than ten seconds while the service operates normally. Changes cannot recall material already delivered, screenshots or independent copies. Host admission and separate camera, microphone and screen-sharing choices still apply. A narrower message-request audience affects new requests; it does not itself end an already accepted conversation.

A new message request permits one introductory text message. The recipient must accept before further messages can be sent. Following someone does not authorize a request. Private conversations are available to their participants through the service, but messages are stored by MeMarF and are not end-to-end encrypted. Authorized personnel may access information only as reasonably needed for support, safety, security or legal compliance. Do not use private messages for regulated or sensitive records requiring safeguards the service does not provide. There are no file or image attachments in this release.

Posts expire from ordinary access after 90 days. Messages expire after 30 days from sending. A pending message request and its introductory message expire after 14 days; accepting it does not restart the introductory message's original expiry. An accepted conversation's metadata expires after 30 days without accepted activity. Following relationships and audience settings remain until changed, removed or the account is disabled or deleted. Capacity and rate limits can prevent further activity; the service is not an archive. The Privacy Notice explains cleanup, preservation and recovery-copy limits.

Deleting your post or your own message removes it from ordinary access; deleting your message removes it for both participants. Declining or canceling a pending message request removes the request and introductory message for both people. Leaving an accepted conversation removes the conversation and its messages for both people after the displayed confirmation. Blocking has the pair-removal effects described above. These controls do not destroy information subject to a valid preservation need. Account exports include only the information the service currently makes available to that account, subject to other people's rights and applicable legal restrictions. Previously exported or independently saved copies remain outside these controls.

7 Local document import

If available, you may choose a résumé, a LinkedIn-export PDF or supported text file, or paste profile text, to generate editable profile suggestions in your browser. Use only material you have permission to process. In the described local-import feature, the source document and full extracted text are not uploaded to or retained by the MeMarF application. Only the selected profile fields you explicitly save are sent to MeMarF.

Review suggestions before saving. Extraction can omit context, confuse names or dates, or place information in the wrong field. Suggestions do not verify identity, ownership, employment, education or credentials. If a suggested name is offered for acknowledgment, you must confirm the name you actually intend to use; the application must not silently choose one for you.

Canceling, leaving the page or signing out stops the import and releases the application's temporary references. This does not promise immediate forensic erasure from your device, browser memory, operating system or a device backup. Optional profile links are links; the import feature does not automatically visit or scan those external pages.

Third-party websites, sign-in providers, publications and other external services have their own terms and privacy practices. A link is not an endorsement, verified credential or assurance that the destination is safe or accurate. Review the destination before providing information or entering a separate arrangement. We are not a party to that arrangement unless we expressly agree, and remain responsible for any duty applicable law independently places on us.

8 Hosts and professional discussions

Hosts and other users speak and act for themselves unless MeMarF expressly identifies an authorized representative acting for us. They are not our employees, agents or professional advisers merely because they have a profile or host an office. Hosting does not authorize anyone to bind Memarflowers LLC, make guarantees for us or collect money on our behalf.

MeMarF provides discovery and communication tools. It does not itself provide medical diagnosis or treatment, legal representation, investment advice, financial brokerage, therapy, regulated education credentials or another regulated professional service through this release. Do not use it as an emergency-response service. For an urgent threat to health or safety, contact the appropriate local emergency service or qualified professional directly.

Before relying on a person's professional advice or engaging their services, independently check qualifications, current licensing, permitted practice locations, conflicts, suitability and the terms of any separate engagement. A professional relationship or legal duty can arise from the actual circumstances and applicable law; this agreement does not decide those questions or waive another person's professional obligations.

If you offer professional information, you are responsible for your own licensing, practice restrictions, required disclosures, informed consents, recordkeeping and other applicable duties. A profile, category or disclaimer does not authorize unlicensed practice. Do not use the service where your obligations require safeguards, confidentiality arrangements, records, emergency support or contracts that MeMarF does not provide. MeMarF does not promise professional privilege, a healthcare business-associate arrangement or compliance certification for a regulated use.

If you use MeMarF for your business or profession, you are responsible for deciding whether the available tools are suitable for that use and for your own services, advice, representations and conduct. Before a separate client engagement, identify the actual provider and client, agree the scope and any charges directly, make required disclosures, check conflicts and licensing, obtain required consents, arrange appropriate insurance where required, and keep required records outside temporary boards. You are responsible for your own tax, billing, refund and professional-compliance obligations. This release does not process the resulting payment or guarantee collection or performance. You must not tell a client that MeMarF has approved the engagement, guarantees your work or provides a confidentiality arrangement it has not expressly agreed to.

We do not control or undertake a user's separate professional judgment, client contract, off-platform transaction or later interaction merely because the parties first met through MeMarF. As between you and us, you accept responsibility for those activities to the extent you conduct or control them. A connection, profile or room invitation does not make us a party to your client relationship, employer, professional supervisor, guarantor or insurer. A user remains responsible for harm caused by their own acts under applicable law.

This allocation does not release a user's claims against another user, decide whether a professional duty arose, or excuse a separate breach or legal duty of MeMarF itself. In particular, it does not remove obligations the law places on us for our own privacy, security, marketing, content-handling or operation of the service.

9 Office participation and host controls

Hosts may admit or decline visitors, manage capacity and queues, lock an office, grant or withdraw board-writing permissions, and remove participants using available controls. Those choices must comply with applicable law and this agreement. Admission is not guaranteed, and queue position or an availability indicator does not promise a particular wait, response, appointment or outcome.

Respect a host's lawful room rules and other participants' boundaries. Do not evade removal, enter through another person's account, bypass a lock or publish a private invitation without authority. Hosts should explain any intended recording, export or sensitive use before participants contribute. A host cannot add conditions that waive another person's nonwaivable rights or enlarge MeMarF's license to that person's content.

You may leave an office or call at any time. Joining an office does not automatically authorize camera, microphone or screen capture; use the separate controls for those features. Other admitted participants can see the content and account information made available in that room. A closed or locked room is not a guarantee of confidentiality against its participants.

10 Direct calls and recording risks

Built-in direct calling supports up to six simultaneous participants in the described release. Call participation is separate from office and board access. The office's admission and removal controls still apply. Your browser may request camera and microphone permission; screen sharing requires a separate choice and browser permission. Check which window, screen or tab you are sharing and what notifications or private material it may expose.

Audio, video and shared-screen media travel directly between admitted participants' browsers. The MeMarF servers handle call setup rather than receiving, storing or relaying those media streams. Setup information can include participant identifiers, network addresses and ICE connection candidates. Cloudflare's STUN service receives connection information needed to help browsers find network addresses. A direct connection can reveal your IP address to other call participants. Technical infrastructure may also process security and connection records described in the Privacy Notice.

There is no TURN relay in this release. Some corporate, school, hotel or other restrictive networks may not connect. Quality depends on participant devices, browsers, network conditions and upload capacity. Screen sharing depends on browser support. Sound-level indicators, speaker highlighting and silence suppression are approximate and are not transcription, attendance certification or reliable proof of who spoke. Silence suppression does not prevent simultaneous speech.

MeMarF has no built-in recording in this release. Participants may nevertheless use device tools, cameras, screenshots or outside software to record or capture content. Do not record, distribute or reuse another person's image, voice, screen or contribution without any notices, permissions and legal basis required by applicable law. Joining a call alone is not agreement to recording. We cannot reliably prevent or erase copies created outside the service. This warning is not permission to make an unlawful recording.

11 Temporary boards and keeping your work

Shared boards, room membership, queues and writing permissions are held in the active service's running memory. There is no application board database, persistent board backup or board-recovery service. A restart, deployment, technical failure or operational limit can lose the board without recovery.

Closing an office, hiding the host's profile, host sign-out, or expiry or revocation of the host's session clears the room and boards. One hour without meaningful interaction also clears boards, with a warning in the preceding five minutes where the feature functions as designed. Routine connection pings do not extend that period. A brief lost connection alone does not immediately erase a board.

A host can use the available control to download a local board copy before the board clears. Guests do not have a built-in board-download control in this release, but any participant may still copy or screenshot visible content. An export can omit information or fail; check important saved copies. Keep an independent copy of work you need. Do not use an office or board as your only business record, evidence repository or backup.

An export does not transfer ownership of another participant's work or authorize a new use. Obtain the rights needed to retain, disclose or reuse contributions. Deleting an account does not necessarily erase that user's contribution from another host's still-active shared board; that board follows its normal clearing lifecycle, subject to applicable rights and our response to a valid request. Copies held by others do not expire when the server board clears.

12 Content ownership and limited permission

You retain the rights you have in your content. You give Memarflowers LLC a nonexclusive, royalty-free permission to host, process, reproduce, technically format, transmit and display that content only as reasonably needed to provide and secure the features you choose, handle a report or support request, and comply with applicable law. Published profile content is displayed to its allowed audience. Posts, messages and office content are shared only through their respective audience, participant and feature controls, subject to the limited operational and legal purposes described here.

This permission applies worldwide only to the extent needed to operate those features and use our service providers. We may allow those providers to process content on our behalf for those purposes and under appropriate restrictions. It does not authorize them to use your content for their own unrelated purposes. Technical formatting may include display sizing or file conversion; it does not permit us to materially misrepresent your words or claim your endorsement.

This agreement does not transfer your ownership, grant a general right to sell your content or personal information, or authorize using your content to train general-purpose AI models. It does not grant a perpetual advertising license, permission to use your identity in a testimonial, or a general waiver of moral rights. Any materially different optional use requires its own valid permission or legal basis and appropriate disclosure.

The operational permission ends when the relevant content is removed from the service, except for limited processing needed to complete a requested export, meet the disclosed recovery and deletion process, address an existing report or dispute, or satisfy a legal obligation. Any retained material remains restricted to its justified purpose and the applicable retention period. Copies already lawfully delivered to other users may remain in their possession; their further use remains subject to your rights and applicable law.

You must have the rights and permissions needed for the content you contribute and the sharing you request. Do not assume that material found online is free to copy. Other users receive only the access necessary to participate in the feature; their access does not give them a license to exploit your work commercially. MeMarF's own software, branding and original site materials remain ours or our licensors'. You may use them as necessary for authorized use of the service, subject to any applicable open-source license or statutory right.

13 Prohibited conduct

Do not use MeMarF to:

- Break applicable law, facilitate fraud, impersonate a person or organization, or materially misrepresent identity, eligibility, qualifications, affiliation or a service outcome. - Threaten, stalk, harass, dox or unlawfully discriminate against anyone, or encourage violence or exploitation. - Create, request, share or promote sexual exploitation of children, nonconsensual intimate imagery, sexual coercion or abusive sexual deepfakes. Do not post or send sexually explicit material through profiles, posts, messages, offices or another service feature. - Disclose confidential, privileged or private information without the necessary authority, or collect others' personal information for an unrelated purpose without a valid legal basis. - Infringe intellectual-property, privacy, publicity or other rights; remove legally required attribution; or pretend that copying or exporting transfers ownership. - Send spam, deceptive promotions, scams or unwanted repeated solicitations, or use misleading links to obtain credentials, money or private information. - Introduce malware, interfere with networks or room operation, flood queues, manipulate discovery through deceptive accounts, or impose an unreasonable technical load. - Bypass admission, authentication, capacity, rate limits, removal, security or eligibility controls; access another person's nonpublic data; or attempt unauthorized account recovery. - Scrape or harvest personal profiles at scale for profiling, resale or unwanted contact, or use automated access that materially interferes with the service or defeats its access controls. This does not restrict conduct the law protects. - Offer or perform regulated activities without the required authorization, claim that MeMarF has verified or approved you when it has not, or collect a payment as though MeMarF processed or guaranteed it.

These rules do not prohibit honest reviews, truthful criticism, good-faith safety or security reports, lawful complaints to a regulator, participation in legal proceedings, or other legally protected activity. Do not knowingly make false reports or abuse reporting tools to silence others. Report a suspected security vulnerability without accessing, changing, retaining or publicly exposing another person's private data beyond what is lawfully authorized.

14 Reports and enforcement

For content, conduct, copyright, privacy or safety concerns, contact markjflowers2@gmail.com. The public “Report a profile image” page gives a copyable address and can open an email draft; you must send that email yourself. Opening the page or draft does not submit a report, generate a receipt or alert the operator. Any applicable response period runs from receipt of a valid request, not when the operator later opens or reads it. Identify the relevant profile, office or content as precisely as you can, explain the concern and provide a safe way to contact you. Do not send passwords, recovery codes or unnecessary sensitive records. For intimate-image or child-safety reports, identify the location and circumstances without redistributing the imagery. For a report about an intimate image, you may use the subject “Intimate image removal request”; the subject alone does not determine validity. Include the profile or office link, a description sufficient to locate the content, whether you are the person depicted or an authorized representative, a statement that the depiction was shared without consent, and any contact information or signature required by applicable law. You do not need to create an account to email a report. Do not attach or resend intimate imagery. We will remove prohibited imagery when we learn of it and address valid notices as applicable law requires. Additional legally required reporting instructions must remain accessible with the service.

Where available, Report Photo and other in-service report controls submit a report to the MeMarF operator after you review the notice and choose Send report. The in-service process records limited report details and content references; a reported text item may be included for review. It does not ask you to upload or redistribute an image. A signed-in report tool supplements the public email route; you need not have an account to use that public route. Sending a report is not a police report, a finding that the content is unlawful, or a promise of immediate human review. We do not automatically report every complaint to authorities. We make legally required reports and disclosures when applicable and may preserve the limited material necessary for a lawful obligation or genuine case. Applicable legal deadlines and duties are not waived by these terms.

We may review information available to us, request clarification, remove or limit content, close a room, revoke permissions, restrict a feature, suspend an account or terminate access when reasonably necessary to address a violation, material risk, legal requirement or service abuse. We do not promise to monitor every interaction or detect every violation. The absence of monitoring does not excuse a legal duty to act on a valid notice or known unlawful activity.

Our response should take account of the conduct, context, reliability of available information, severity, recurrence and impact on others. Where appropriate and lawful, we will explain a restriction and provide a way to ask for review through support. We may act immediately where needed for safety, security, serious abuse or legal compliance, and may withhold details where disclosure would create risk or violate law. Applicable notice, explanation, appeal and response requirements still apply.

We may restrict or terminate repeat infringers in appropriate circumstances. Copyright notices and counter-notices must follow any applicable published procedure and statutory requirements. This agreement does not represent that a statutory safe harbor automatically applies or that the support address is a registered copyright agent.

15 Privacy and account choices

Read the Privacy Notice available through MeMarF's Privacy link for information about account data, acceptance records, authentication, public profiles and headshots, connections, follows, audience and contact controls, feed posts, messages, reports, preservation, local imports, rooms, direct calls, technical providers, cookies, retention and your choices. We do not sell personal information or use advertising trackers in the described free release. Acceptance of these terms is not permission to add advertising, unrelated profiling or another undisclosed use.

“Hide profile and close office” removes the public listing, closes the office and clears its boards while retaining the account and private profile. Publishing again does not automatically reopen the office. Signing out ends that session but does not delete the account or profile. Removing access in a sign-in provider's settings does not itself delete MeMarF records or necessarily end an existing MeMarF session.

To request deletion, use the available account-deletion process, a recent supported sign-in and the explicit confirmation requested on screen. The current process requires authentication no more than ten minutes old and the confirmation “DELETE MY ACCOUNT.” An accepted request freezes the account, hides its profile and ends sessions; the operator then completes removal of active account and profile records. It is not an instant purge of all copies. Contact support if the standard process is inaccessible or you no longer have the original sign-in method. Reasonable verification is required, but an inaccessible sign-in path does not extinguish a statutory privacy right.

To prevent a deleted account from reappearing after database recovery, we retain a separate minimal suppression record containing opaque account and request identifiers, the sign-in provider or supported identity type, a hashed identity reference where applicable, request and completion times, and status. This suppression record excludes the profile, name, email, birth date, authentication secrets, cookies and board content. It is removed within 35 days after verified deletion completion. Database cleanup and the separate recovery-ledger cleanup must both apply that bound. We do not restore service from older recovery copies after that protection expires.

Database recovery copies are separate from active records and are not board backups. This release provides no automated database restore or lost-state recovery promise. Any actual restoration requires a separately validated procedure and authorization, verified current holds and restrictions, intact required originals, and reapplication before exposure. The Privacy Notice explains the restoration limits; no new recovery-control journal is introduced by this release. Missing authoritative controls or required material prevents reopening the affected service. On the described Cloudflare D1 Free plan the rolling recovery window is up to seven days; a plan change or separate export can change actual retention and requires an updated review and disclosure. A deliberate new sign-in after completed deletion can create a fresh account with a new identifier, without restoring the deleted profile. Pending deletion and older in-progress sign-ins must not reactivate the deleted account.

The acceptance record described in section 1 is a different record from the name-free suppression ledger. Under the account-deletion process, its account-linked acknowledgment, name snapshot and acceptance metadata are removed with the verified active-account purge; the shared nonpersonal agreement-version archive may remain. Recovery copies expire under their applicable recovery window. A specific legal obligation, lawful preservation request or genuine existing dispute can require restricted retention of relevant material for longer than ordinary expiry or deletion. We limit it to the necessary material and purpose, document the basis, review continued need and release it when no longer justified. A review date does not itself authorize destroying material still required to be preserved. A hold can prevent completion of the ordinary in-app deletion process; contact support for case-specific review, restriction of access and deletion of separable material that need not be kept. We will provide any explanation or response required by law. A different routine retention period requires appropriate review and disclosure. Security and support records follow the retention criteria in the Privacy Notice. We will not treat the 35-day suppression period as permission to keep unrelated data indefinitely. Your statutory access, correction, deletion, objection, complaint and other applicable rights are preserved.

16 Availability and changes to the service

MeMarF is an early free service with technical and operational limits. We use reasonable care as required by applicable law, but do not promise uninterrupted service, a particular user or audience, continuous compatibility, a successful call, a saved temporary board, or a particular professional, educational or commercial outcome.

We may make reasonable changes for security, legal compliance, accessibility, compatibility, reliability or development of the service. We may retire a feature or discontinue the service. Where practicable and required by law, we will give reasonable advance notice of a material reduction or discontinuance and a reasonable opportunity to obtain information that is still available for export. This does not create a backup of an already expired board or allow a change to defeat a mandatory remedy.

We may need to respond immediately to a vulnerability, abuse, outage or legal requirement. We remain responsible for obligations that applicable law places on us. Your internet provider, device maker, browser and third-party services may impose their own limits or charges.

17 Warranties and limits on monetary liability

Scope and protected MeMarF parties

The limits in this section apply only to the extent lawful and enforceable under the law governing the claim. “Protected MeMarF parties” means Memarflowers LLC and its members, managers, officers, employees and agents, solely for conduct undertaken in that capacity in providing MeMarF. They do not include independent hosts or unrelated third parties. A person does not receive protection for unrelated personal conduct simply because they own or work for the company. Each protected MeMarF party may rely on this section, subject to all of its exceptions.

For business use, the service is provided on an “as available” basis. To the extent permitted by law, we exclude implied contractual warranties of merchantability, fitness for a particular purpose and noninfringement. For consumers, mandatory guarantees of reasonable care, conformity, quality and fitness, and the remedies for their breach, remain available. An express promise in this agreement is not silently withdrawn by a general disclaimer.

We do not assume liability for a host's or other user's independent services, credentials, advice, client obligations, transactions or later conduct merely because MeMarF facilitated the initial exchange. We remain responsible to the extent our own conduct or a legal duty makes us responsible. A third party's contribution to an injury does not automatically eliminate our share of responsibility.

Excluded business losses

For business use, and subject to the exceptions below, the protected MeMarF parties will not be liable for indirect, consequential or special loss, lost profits, lost revenue, lost business opportunity or goodwill, or business interruption arising from the service. This applies to the extent the law permits, including where such loss was foreseeable. Calling a loss indirect does not decide how a court will classify it. For consumer use, we do not accept responsibility for losses that were not reasonably foreseeable when the agreement was made, except where applicable law requires otherwise. A foreseeable loss is an obvious consequence or one the parties reasonably contemplated.

Aggregate cap for the free service

Subject to the exceptions below, the combined aggregate monetary liability of all protected MeMarF parties to you for all claims arising out of or relating to the free service or this agreement is limited to US$500. This is one combined cap for those claims, not US$500 for each claim, incident, account, defendant or legal theory. It applies to contract, ordinary negligence and other legal theories only to the extent a limitation on that theory is lawful. Creating multiple accounts does not increase the cap. This cap does not apply to a consumer habitually resident outside the United States. Any cap for future paid services requires separately disclosed terms and is not supplied by this free-service clause.

Matters the limits do not cover

No exclusion or cap in this agreement applies to fraud, fraudulent misrepresentation, deliberate misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that applicable law does not permit us to exclude or limit. The agreement does not reduce statutory damages, compensation, refunds, attorney-fee entitlements, privacy or data-protection remedies, or other relief to the extent they cannot lawfully be reduced. It does not restrict regulator enforcement or a nonwaivable right to injunctive relief.

The cap does not limit our obligations to pay arbitration administration, arbitrator or other dispute-process fees under section 20 or applicable law. It does not convert those costs into a user's debt. We do not impose a shorter period for bringing a claim than the law otherwise provides. If a specific exclusion or cap cannot lawfully apply to your claim, it does not apply to that claim; lawful independent provisions remain subject to section 22.

18 Business responsibility for third party claims

This section applies only when you act for a business or use MeMarF for your trade or profession, and only to the extent lawful. It does not impose a blanket indemnity on a consumer using the service for personal purposes. The actual nature of the activity governs; a profile category or our label does not decide your legal status.

You will indemnify the protected MeMarF parties for amounts finally awarded to a third party, reasonable external legal costs attributable to the covered claim, and settlements you approve, to the extent caused by your unlawful conduct, your material breach of this agreement, infringement by content you supply, or your negligent or intentional breach of duties in your own professional services or client relationship. A third-party claim means a claim by someone other than you or a protected MeMarF party. This obligation does not cover a protected party's own negligence, breach, unlawful conduct or other responsibility, and will be allocated fairly where more than one party contributed.

Upon reasonably prompt written notice of a covered claim, you will provide a defense through qualified counsel reasonably acceptable to us where that defense can be provided without a material conflict. You may control that defense, and we will reasonably cooperate at your expense for the covered portion. We may participate with our own counsel at our expense unless an actual conflict requires independent counsel and applicable law makes that reasonable cost yours. A delay in notice relieves your obligation only to the extent it materially prejudices the defense. Neither side may settle in a way that admits fault, imposes a nonmonetary obligation or fails to release the other protected party without that party's consent, which will not be unreasonably withheld. If responsibility is disputed, the dispute is resolved through section 20; a mere allegation does not conclusively establish that you owe reimbursement.

This section is not a penalty for reporting misconduct, exercising a privacy right, making a truthful review or bringing a good-faith claim. It does not transfer our statutory duties to you. It is separate from a client's own claims against their service provider.

19 Ending access and the agreement

You may stop using MeMarF at any time. Use the deletion process if you also want the account removed. Stopping use, signing out and hiding a profile have different effects as explained above.

We may suspend or terminate access for a serious or repeated violation, a material safety or security risk, a lawful requirement, or service discontinuance, following the notice and review protections described in this agreement and any applicable law. Where a remediable breach does not require immediate action, we will give a reasonable opportunity to correct it when appropriate. We do not promise to retain an account or temporary content after lawful termination beyond the disclosed retention process.

Termination does not cancel rights or liabilities that have already arisen. Provisions addressing retained content, limited retention, responsibility for past conduct, disputes and other matters that by their nature continue will continue only as needed for their purpose and subject to applicable law. This does not turn a limited content license into a perpetual one or permit unlimited data retention.

20 Disputes and individual arbitration for United States users

Important effect and scope

For a covered United States dispute, you and Memarflowers LLC agree to binding individual arbitration, instead of a trial before a judge or jury, subject to the exceptions below. Acceptance of this section is a condition of membership where it applies and is enforceable; there is no optional contractual right to opt out of arbitration or the class-action waiver. Neither side may bring or participate in a class, collective or representative proceeding for a covered dispute to the extent the waiver is lawful. Arbitration decisions receive the limited court review permitted by law; they are not ordinarily retried on the merits in court.

This arbitration section applies only if you habitually reside in the United States or, for an organization properly bound to this agreement, have your principal place of business in the United States. It covers disputes arising out of or relating to this agreement, your use of MeMarF, or our provision of MeMarF after you first accept this section, whether based on contract, tort, statute or another legal theory. It covers related claims against protected MeMarF parties acting for the company, who may enforce and are bound by the same arbitration obligations and exceptions. It does not govern disputes solely between independent users, employment or worker-classification disputes, or a dispute already pending when you first accept it.

For users outside that United States scope, this agreement imposes no predispute arbitration or class-action waiver. Their available courts, remedies and mandatory protections are determined by applicable law. A separate agreement to arbitrate an existing dispute remains possible if lawful and voluntarily made.

Exceptions and preserved rights

Either party may bring an individual claim in an appropriate small-claims court within its jurisdiction. Either party may request temporary court relief needed to preserve rights or prevent imminent harm pending arbitration, without creating a general one-sided court exception for the merits. You may contact, report to or participate in proceedings of a regulator, law-enforcement agency or other public authority.

Nothing requires arbitration or a joint-action waiver for a case where the person entitled to choose a court elects to do so under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, or for any other claim or case that mandatory law excludes. Nonwaivable statutory remedies remain available. A request for public injunctive relief that applicable law makes nonwaivable may be brought in a competent court; the court decides any lawful sequencing with separately arbitrable claims. This section does not eliminate that remedy in every forum or prevent protected representative or collective proceedings where a waiver is prohibited.

Informal contact without a filing trap

Before starting a dispute, we encourage either party to send a short explanation of the issue and requested outcome to the other. You can contact markjflowers2@gmail.com or the legal-notice address in section 22. We will use an appropriate verified contact route available for your account. Informal discussion is voluntary; it is not a mandatory delay, exhaustion requirement, waiver of a deadline or prerequisite to small claims, urgent relief, a regulator complaint or a lawful filing. No paid mediation is required by this agreement.

Starting arbitration and selecting one neutral

A covered arbitration will be conducted by one independent neutral selected for that dispute, without a standing administrator or an incorporated provider rulebook. Either party may start the selection process by giving the other a written arbitration demand identifying the parties, a safe contact route, a short explanation of the claim and the relief sought. Send a demand to us at the email or legal-notice address in section 22. We will send a demand through a verified contact route available for your account or another lawful notice method. Keep proof of delivery. Do not include unnecessary sensitive records in the initial demand. Court papers must still be served as law requires; an ordinary email does not replace legally required court service.

Within 30 days after the demand is received, the parties will try in good faith to agree on a neutral and the neutral's reasonable written compensation terms. Either side may propose qualified candidates. The neutral must be an impartial lawyer admitted and in good standing in a United States jurisdiction or a retired judge with relevant dispute-resolution experience, unless the parties agree after the dispute arises to another qualified neutral. The neutral must disclose relationships, financial interests, repeat appointments and other circumstances reasonably bearing on impartiality before appointment and as they arise. Either party may raise a timely impartiality objection and seek any relief that applicable law permits. Neither party may select the neutral alone, and payment by us does not give us control over the neutral's decision.

If the parties do not complete the appointment within that 30-day period, either may ask a court with jurisdiction to appoint one neutral under section 5 of the Federal Arbitration Act where applicable, or an applicable state appointment procedure. The same fallback applies if the agreed method fails or a vacancy is not filled within 30 days after notice. Appointment may be sought sooner when law permits and necessary to avoid prejudice. A federal court is available only if it has an independent basis for jurisdiction; this agreement does not create federal jurisdiction. The court may resolve reasonable compensation arrangements to the extent it has authority, or the appointed neutral may address them subject to law and the cost protections below. Neither side has an unlimited veto by refusing implementing paperwork or reasonable compensation arrangements. The agreement to arbitrate exists in this section and does not depend on a later agreement to arbitrate.

The parties may jointly choose an administrator and its rules in writing after a dispute arises, but neither must accept a particular provider or pay a registration or subscription merely to use MeMarF. A later provider selection must preserve mandatory rights and the consumer protections in this section. No administrator is engaged by this agreement. If a lawful appointment or accessible process cannot be obtained despite good-faith use of the stated method, either party may ask a competent court to resolve whether the affected dispute may proceed there. No one must wait indefinitely in an unavailable forum.

The selection period is not a required delay for small claims, urgent relief, a regulator complaint or a court filing necessary to preserve a deadline. We will not assert a limitations defense based on time spent from our receipt of a timely arbitration demand through selection, arbitration or a timely court proceeding about arbitrability, and for 30 days after a final determination that the claim must instead proceed in court or your valid written election to proceed in court under the Costs and failure of the process provisions below, to the extent the law permits that protection. This does not shorten a longer legal period or revive a claim already time-barred before receipt. Seek legal advice about deadlines that cannot lawfully be extended.

Fair procedure and available relief

After appointment, the neutral will promptly invite both parties to discuss a written schedule, proportionate exchange of relevant nonprivileged information, hearing arrangements and reasonable accommodations. Each side must receive adequate notice, an equal opportunity to respond, present relevant evidence, question material adverse evidence where appropriate, and have counsel or an otherwise lawfully permitted representative at its own election. The neutral may resolve procedural questions and order reasonable information exchange needed for a fair decision, within applicable law. The Federal Rules of Civil Procedure do not automatically govern. No party is required to consent to a documents-only decision; a consumer may request a live remote hearing or, when reasonably necessary, an accessible in-person hearing.

For a consumer, remote participation must be reasonably accessible, and any necessary in-person hearing must be in or near the county where the consumer resides unless the consumer agrees otherwise after the dispute arises. This agreement does not require a consumer to travel to Georgia. The legal place of arbitration will be that county unless applicable law requires otherwise or the parties agree after the dispute arises. For a genuine business-to-business dispute, the parties will agree on an appropriate place and remote arrangements, or the neutral will choose a reasonable location after hearing both sides. Reasonable accessibility measures must not make the consumer pay more than the process-cost limit below.

The neutral must apply the governing substantive law and may award the relief available for an individual claim under that law, subject only to lawful limits that would also apply in court. The decision must be reasoned, written, signed and delivered to both parties. The parties consent to entry of judgment on an award by a court with jurisdiction, subject to the judicial review and deadlines the law allows. This agreement does not require secrecy about the existence of a dispute, prevent truthful discussion of a user's experience, or restrict lawful reporting or consultation with counsel. The neutral may issue justified, proportionate protective orders for confidential evidence without restricting protected disclosures.

A court, rather than the neutral, decides whether the parties formed this arbitration agreement, whether this section or its class-action waiver is enforceable, whether a statutory exclusion applies, and any matter the law reserves to a court. The neutral decides other procedural and merits questions within lawful authority. A later procedural arrangement cannot silently transfer those threshold court questions to the neutral.

Costs and failure of the process

For an arbitration initiated by an individual consumer, the consumer's total required contribution to neutral and administration fees, necessary hearing facilities, and court filing or service charges reasonably needed solely to appoint the neutral is limited to the lesser of US$200 or the ordinary filing fee for an equivalent claim in a court with jurisdiction near the consumer's residence. Available court fee waivers reduce that comparison amount. We will waive the consumer contribution on a reasonable statement that paying it would cause financial hardship; no bank statements or identity documents are required by this clause. If we initiate a consumer case, the consumer owes no such process contribution. Consumer status follows actual use and applicable law, not a professional-profile label.

We will pay the remaining reasonable neutral, administration, necessary hearing and appointment-process charges for a consumer case, and any additional amount the law requires to keep the process accessible. We will advance those amounts when needed; a consumer need not first pay unaffordable charges and wait for reimbursement. Any reasonably documented excess appointment charge already paid by the consumer will be reimbursed within 30 days of request. The neutral or a competent court may resolve a disagreement about reasonable charges; we cannot defeat access by unilaterally labeling necessary charges unreasonable. Section 17's damages cap does not cap these payment obligations. No fixed overall cost is promised, and arbitration is not necessarily free or less expensive than court.

In a genuine business-to-business dispute, the parties initially share reasonable neutral and common administration charges equally, subject to a different post-dispute agreement, mandatory law or a lawful final allocation. Each party ordinarily pays its own lawyers, experts and other preparation costs. That rule does not remove any statutory right to recover fees or costs, require a consumer to pay our lawyers merely for losing, or prevent additional assistance needed under mandatory law. We will not seek to shift our neutral or administration charges to a consumer because the consumer does not prevail.

If we fail to pay a consumer-process amount when due, refuse to cooperate in implementing a valid appointment, or otherwise obstruct access to the agreed process, and that failure prevents the case from moving forward, the consumer may elect to bring the affected dispute in a competent court. We will not invoke arbitration to block that election. Any earlier or additional remedy, deadline or sanction supplied by applicable law remains available. The consumer may also ask a court for relief if the neutral-selection or cost arrangements make a lawful, accessible process unavailable. A consumer is not required to accept a new provider or give up a mandatory remedy to cure our failure.

Individual proceedings and severability

To the extent lawful, covered disputes are brought only in each party's individual capacity, not as a class representative or class member, and neither party consents to class arbitration. No arbitrator may decide absent persons' claims or impose classwide relief under this agreement. This does not prohibit people from using the same lawyer, lawful coordination of separate individual claims, or any nonwaivable remedy preserved above. Individual arbitration can still involve many similar claims.

If a court finally determines that the individual-proceeding requirement is unenforceable for a particular claim or request for relief, that affected matter proceeds in a competent court, rather than in class arbitration. The remainder may be arbitrated only to the extent lawful and consistent with the court's order. Any enforceable class-action waiver outside arbitration remains subject to all exceptions; it is not a guarantee that no class proceeding can ever be filed.

Membership acceptance and future changes

The exceptions and court routes in this section are part of the agreement. Exercising them is not a refusal to accept the agreement and is not, by itself, a ground to cancel membership. Declining required agreement acceptance has the access consequences described in sections 1 and 21; it does not automatically delete an existing account or its data. Any material future change to this arbitration section requires clear notice and affirmative acceptance and does not apply retroactively to a pending dispute. An update does not erase an existing accrued right or a legally effective choice under a previously accepted agreement.

Governing law and court access

The Federal Arbitration Act governs this arbitration section to the extent it applies. Georgia substantive law governs the agreement except to the extent federal law or a consumer's nonwaivable protections under otherwise applicable law require a different result. This choice does not take away mandatory home-country or home-state rights. This agreement does not impose an exclusive Georgia court venue on consumers. For matters that properly proceed in court, jurisdiction and venue follow applicable law; no separate jury waiver is imposed for a case that properly proceeds in court.

21 Updates and notices

We may propose updates to this agreement for changes in features, law, security, operations or our relationship with users. We will identify the new version and effective date, explain material changes in advance where practicable and legally required, and obtain renewed affirmative agreement where required. Material new obligations will not be imposed solely by silently replacing text behind an old link. Updates do not retroactively remove an accrued claim.

If renewed agreement is required and you decline, we may limit future use of the affected feature or service, while preserving applicable rights to access or request deletion of information and any other mandatory remedy. We will preserve earlier accepted versions in your private acceptance history for the disclosed retention period.

We may provide routine service and legal notices through an appropriate in-service notice or the verified contact route associated with your account. Marketing permission is separate. If a law requires a particular delivery method or separate consent to electronic records, that requirement still applies. You can save or print the agreement and download the retained accepted version through the account feature. Contact support if you need an accessible copy or help locating it.

22 General provisions and contact

This agreement and any additional terms you separately accept for a specific feature describe the parties' agreement about that use of MeMarF. Feature-specific terms apply to their stated subject only. The Privacy Notice remains an explanation of personal-information handling and applicable privacy rights; it does not supply hidden waivers or unrelated permissions.

If a court finds a provision unenforceable, the remaining provisions continue only if they can lawfully do so. A court's ability to sever or modify a clause depends on applicable law. Failure to enforce a provision on one occasion does not waive future enforcement. You may not transfer your account or this agreement without our approval where such a restriction is lawful. We may transfer the service and this agreement in a lawful business reorganization or sale only with required notice and without reducing protections the law requires; the transferee must assume our relevant obligations.

These terms do not create a partnership, employment or agency relationship between MeMarF and a user, or between users. They do not authorize anyone to act for another without actual authority. Except for the expressly identified protected MeMarF parties under sections 17, 18 and 20, no third party receives an independent contractual enforcement right merely because this agreement mentions it, except where applicable law requires otherwise.
